These Terms are an agreement between you and SoulDay, Inc. Please read them. A few things we want you to see before anything else:
- SoulDay is not therapy, medical care, or a crisis service. Section 3.
- Everything SoulDay writes for you is written by a machine, and no human reads it. Section 7.
- Anyone you connect with as a soul-mate will see how you feel, and that cannot be undone. Section 8.
- If you stop checking in, your soul goes to sleep and we stop writing for you. Nothing is deleted, and one check-in wakes it. If you stop opening SoulDay at all for a very long time, we may eventually close your account, and we’ll email you first. Section 14.3.
- Section 17 requires most disputes to be resolved by individual arbitration rather than in court, and gives up your right to participate in a class action. You can opt out within 30 days and keep your right to go to court. Section 17.6 tells you how.
1. Who we are, and what these Terms cover
SoulDay, Inc. is a Delaware corporation (“SoulDay,” “we,” “us,” “our”). These Terms govern your use of the SoulDay app and the website at soulday.ai (together, the “Service”).
By creating an account or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.
Our Privacy Policy and our Consumer Health Data Privacy Policy describe what we collect and what we do with it. They are part of this agreement. Where these Terms and either policy appear to conflict about how we handle your information, the policies govern.
2. Who can use SoulDay
You must be at least 18 years old. We ask when you were born before your account is created. We don’t verify it — we rely on what you tell us and, where your phone can tell us, on the age range it reports.
SoulDay is currently available only in the United States. We determine your country from your network connection when you sign up.
Your account is tied to the sign-in method you used to create it. If you sign in with Google, that is your account. If you later sign in with Apple — even on the same email address — that creates a separate, empty account, not a second door into your existing one. We identify your account by the sign-in provider’s own identifier rather than by your email address, because matching on email would let anyone who controls that address at any point in the future reach an account someone else created.
Your account is yours personally — don’t share it, don’t sell it, don’t let someone else use it.
If we determine you are under 18, we will not create an account, and we block that sign-in identity from creating one later. Because we deliberately do not keep your date of birth, we cannot tell when you turn 18. If you are blocked and you are now an adult, write to support@soulday.ai and we will review it.
3. What SoulDay is not
Read this section even if you skip the rest.
SoulDay is not therapy, counseling, medical care, mental health treatment, or a crisis service. It is not operated or reviewed by licensed clinicians. Nothing in the Service is a diagnosis, a treatment plan, or medical advice, and nothing in it should be used as a substitute for care from a qualified professional.
SoulDay cannot assess risk and will not respond to an emergency. We do not monitor what you tell us. If you select a state or feeling describing severe distress, the Service does exactly what it does for any other selection: it generates writing and shows it to you the next morning. No person is alerted. No one at SoulDay reads it. Nothing is escalated.

Choosing to use SoulDay is not a substitute for reaching out to a person.
4. Your account
You sign in with Google or Apple. We never see or store a password. Keep your Google or Apple account secure — anyone who can sign in as you can see everything in your SoulDay account.
Tell us promptly at support@soulday.ai if you believe someone else has accessed your account.
Your display name. You choose it, and it is the one piece of text in SoulDay that other people see: it appears to your soul-mates, and it is included in the invitation emails we send on your behalf to people who may not be SoulDay users. You are responsible for it. It must not be obscene, hateful, harassing, deceptive, impersonating, or a phone number, URL, or message intended for a recipient rather than a name. We may change or remove a display name that breaks this rule, and we may suspend an account that does it deliberately.
5. How the Service works
Onboarding runs over a set number of days — up to seven — one step per calendar day. The number can differ between accounts and may change over time. The full Service unlocks when it completes.
Each day you check in by choosing one state and one feeling from fixed lists. That is the only input the Service takes about how you feel. There is no chat. You cannot type a message to your soul, converse with it, or steer what it writes.
Overnight, we generate the next day’s writing — a short daily message and a longer essay — from your check-ins, and show it to you the following morning. Your check-ins are the material. Generation happens on a schedule, not when you open the app.
Some days it may not arrive. Generation depends on services we don’t control. If our AI provider’s safety filters block a request, or a provider has an outage, or a scheduled job fails, you may receive nothing that day. We don’t guarantee that any particular day’s writing will be created or delivered, and a missed day is not a breach of these Terms. Your check-ins and your timeline are unaffected.
And if you stop checking in, we stop writing. Because the writing is made from your check-ins, an absence of check-ins leaves nothing to write from. Section 14.3 explains what happens then.
6. What you give us permission to do
To run the Service, you give us permission to store, process, and display the information you give us and the information we create about you, including sending it to the service providers described in our Privacy Policy — most significantly to Google, whose AI writes your daily message and essay. Section 6 of the Privacy Policy sets out exactly what we send.
This permission lasts while your account is open and ends when you delete it, except where we’ve told you otherwise in the Privacy Policy.
Feedback. If you send us ideas or suggestions, we can use them without owing you anything. We’d still rather hear them.
7. The writing SoulDay creates
7.1 A machine writes it, and nobody checks it
Everything SoulDay writes for you is generated by an AI model — currently Google’s Gemini — from information about you. No human being at SoulDay or at Google reads it before you do. There is no editorial review, no fact-checking, and no clinical review of any kind.
The writing is deliberately styled as your own inner voice. It is not your voice. It is the output of a machine that has been told about you.
7.2 It may be wrong, and some of it tells you to do things
The writing may be inaccurate, mistaken about how you feel, poorly timed, or simply unhelpful. Some of it is prescriptive — it may suggest a specific thing to do that day, and the Service may ask you to confirm you did it.
That is a suggestion from a machine, not advice, and not an instruction you owe anyone. Whether to act on anything SoulDay writes is entirely your decision and your judgment. You act on it at your own risk. We make no warranty that any of it is accurate, appropriate, safe, or suitable for you or your circumstances.
Nothing in the Service should be relied on for medical, psychological, legal, financial, or safety decisions.
7.3 Who owns it
The writing SoulDay creates for you is yours to read, keep, save, and pin, for as long as your account is open, for your own personal use.
We own the system that makes it — the prompts, the emotion vocabulary and taxonomy, the objectives, the soul visual system, the software, and the SoulDay brand — and, to the extent any rights exist in the generated writing itself, we own those too. We note that under United States law, text generated by a machine without meaningful human authorship may not be protected by copyright at all.
We will not publish your writing, quote it, or use it in marketing without asking you first.
Our ownership does not permit us to train AI models on it. Our Privacy Policy commits us to never doing that, and that commitment binds us regardless of who owns what. Changing it would be a material change under Section 16.
Nothing in this section limits any right you have under privacy law to access or receive a copy of information about you. Section 14.4 explains how to ask us for one.
We may store, re-read, and re-process your past writing to operate the Service — for example, so that a new message doesn’t repeat one you’ve already seen.
8. Soul-mates
8.1 What connecting means
You can connect with up to five people as soul-mates. When you connect, each of you can see how the other feels — live state and feeling, emotional timeline at day, week and month scale, what you’re working toward, and the state you were in when you send a gesture.
This is a real disclosure of sensitive information about you to another person, and it cannot be undone. Once someone has seen how you feel, they have seen it. We cannot retrieve it, and we have no control over what they remember, screenshot, or tell anyone else.
We ask your permission to share once — the first time you send an invitation, and the first time you accept one. That permission covers every soul-mate you connect with afterwards. You always choose who to invite and whose invitation to accept, and you can disconnect at any time.
8.2 Inviting someone
When you invite someone, we send an email from our systems, to an address you typed, containing your display name. That person may not use SoulDay and may not want to hear from you.
You are responsible for who you invite. By sending an invitation you confirm that:
- you have a good-faith basis to believe that person wants to hear from you;
- you are entitled to use that email address for this purpose;
- you are not inviting them to harass, threaten, embarrass, or pressure them;
- you are not using the invitation to send a message, advertisement, or content of any kind other than a genuine invitation; and
- you will not re-invite someone who has declined.
We may limit how many invitations you can send, refuse to send one, or suspend your ability to invite people. Invitations expire after seven days.
8.3 What we don’t do
We do not police what a soul-mate does with what they see. We don’t monitor your connections, we don’t mediate between you, and we’re not responsible for another person’s conduct, including what they do with information about you that they learned through the Service. Choose carefully who you connect with.
8.4 Disconnecting, and what stays
You can disconnect from any soul-mate at any time, from Settings or from their page. They immediately stop seeing your state and your timeline, and they receive a notification that you have stepped away.
Disconnecting ends the gestures between you. The ones you already exchanged stop being reachable by either of you, and reconnecting later starts a new bond rather than restoring the old one.
If you delete your account, the state you were in is removed from the gestures the other person received, and what is left of them is theirs. A gesture you sent that they never opened is deleted rather than emptied out.
9. Acceptable use
Don’t:
- use the Service if you’re under 18, or outside the United States;
- create an account after we’ve blocked you, or to get around any limit on the Service;
- use the Service to harass, threaten, deceive, or harm anyone;
- use the invitation system for anything other than genuine invitations;
- reverse engineer, decompile, scrape, or attempt to extract our prompts, models, or source code;
- interfere with the Service, probe it for vulnerabilities, or circumvent any limit, gate, or restriction — including our age and region checks, and any limit we place on how often a request can be made;
- use automated means to access or interact with the Service; or
- use the Service to build a competing product, or resell access to it.
10. Changes to the Service
SoulDay is an evolving product. We may add, change, or remove features, including features currently available for free. If we make a change that materially reduces what the Service does for you, we’ll tell you in the app before it takes effect where we reasonably can.
11. SoulDay+ subscription
SoulDay+ is not yet available. This section describes how it will work when it launches. No charge is made and no payment information is collected until then. When SoulDay+ becomes available, we’ll tell you in the app first.
What it is. A paid subscription unlocking additional features. Current pricing appears in the app before you buy. Some features available today may become part of SoulDay+ in future; where that happens we’ll follow Section 10.
How billing works. Subscriptions are sold and billed through Apple’s App Store or Google Play, not by us. We never receive your payment card.
Auto-renewal. Subscriptions renew automatically at the end of each period at the then-current price, and your account is charged within 24 hours of the end of the current period, unless you cancel at least 24 hours before it ends.
Cancelling. Cancel in your Apple or Google account settings, not in SoulDay. We cannot cancel it for you. Cancelling stops the next renewal; the current period runs to its end.
Refunds. Refunds are governed by Apple’s and Google’s policies, not ours. We generally cannot issue a refund for a purchase made through a store.
Price changes. We’ll give you notice before a price change takes effect, in the manner the store requires, and you’ll have the opportunity to cancel first.
Free trials, where offered, convert to a paid subscription unless you cancel before the trial ends. The terms of any trial are shown before you start it.
While your subscription is active, Section 14.3 does not apply to you. Your soul does not sleep, however long it has been since you checked in, and we will not close your account for inactivity.
If your subscription lapses, your access to SoulDay+ features ends and your account continues as a free account. Your history is not deleted. If you were using a paid growth objective, the next day’s generation returns you to the free default. A free account is subject to Section 14.3, and any absence is counted from the day your subscription lapsed — never from before it.
12. Our intellectual property
The Service, and everything in it other than the writing addressed in Section 7.3 and the information you provide, belongs to us — including the software, the soul visual system, the emotion vocabulary and taxonomy, the objectives, the prompts, all interface text in every language, and the SoulDay name and marks. We give you a personal, limited, non-transferable, revocable licence to use the Service as intended. Nothing else is granted.
13. Third parties
The Service depends on services we don’t control, including Google, Apple, Supabase, Railway, Vercel, Resend, MaxMind, RevenueCat, OpenStreetMap, Open-Meteo, and others identified in our Privacy Policy. We’re not responsible for their acts, omissions, outages, or changes, and their failures may degrade or interrupt the Service. Your use of a third-party service through SoulDay is subject to that party’s terms.
Not all of them receive information about you — our Privacy Policy sets out which ones do.
14. Ending the agreement
14.1 You can leave at any time
Delete your account in Settings. It closes your account and deletes your personal information as described in the Privacy Policy. This cannot be undone, so if you want a copy of anything first, ask us before you delete — Section 14.4.
If you have a subscription, cancel it in your Apple or Google account as well — deleting your SoulDay account does not cancel a store subscription.
14.2 When we can suspend or close an account, or decline to provide the Service
We may suspend or close an account if:
- you are under 18, or you created it from outside the United States;
- you materially breach these Terms, including Section 9;
- you use the Service in a way that harms another person or exposes us to legal liability; or
- we are required to by law.
We may also decline to create an account for anyone whose account we have previously closed under this section, and we may stop offering the Service generally, or stop offering it where you live, on reasonable notice.
Where the circumstances allow it, we’ll tell you why and give you a chance to fix it first. For a breach we can’t safely leave in place — harassment, invitation abuse, circumventing our age or region checks — we may act immediately.
We will never suspend, close, degrade, or price your account differently because you exercised a privacy right, asked us a question about your data, or complained about how we handle it. That commitment is also in our Privacy Policy and we mean it.
If we close your account, we’ll delete your information as described in the Privacy Policy, and we’ll give you a reasonable opportunity to ask for a copy of it first unless the law or the circumstances prevent it.
14.3 When you stop checking in
This section is not a penalty and it is not Section 14.2. Nothing here is a sanction, a suspension, or a step toward deletion, and nothing here is triggered by anything you did wrong.
Your soul sleeps when the check-ins stop
SoulDay writes for you out of what you tell it. Your daily message and your essay are made from your check-ins — the state and the feeling you choose each day, and the pattern they form over time. That is the only material there is. Without check-ins, there is nothing new to write from.
We could keep writing anyway, by carrying your last state forward indefinitely. We won’t. A record that quietly repeats a feeling for weeks after you stopped reporting it isn’t a record of your life; it’s a machine writing about a person who isn’t there. We would rather your timeline be honest about the silence than fluent about a mood you never had.
So if you stop checking in, your soul gradually weakens, and then it sleeps. When it sleeps we stop generating your daily message and essay.
What that means, exactly
- Nothing is deleted. Your account stays open. Your timeline, your saved messages, your growth objective, and your soul-mate connections are all exactly where you left them.
- A single check-in wakes it. You don’t need to do anything else, contact anyone, or recover anything. Check in, and generation resumes. Your soul returns to full strength over the following few days rather than all at once, so that coming back is something you can watch happen.
- While your soul sleeps, we stop sending anything about you to our AI provider. No profile is assembled and no request is made. This is enforced in our code, not only promised here.
- We tell you it’s happening. We email you, and send a notification if you have them turned on, when your soul begins to weaken and again when it sleeps — in your own language, explaining that nothing is lost and that one check-in brings it back. Email is the channel we rely on, because notifications don’t reliably reach a phone that hasn’t opened the app in a while.
- Opening the app is not the same as checking in. Your soul follows your check-ins, not your visits, because check-ins are what it’s made from. If you open SoulDay and your soul looks dimmer than you remember, a check-in is what restores it.
We don’t publish the exact number of days here, because we expect to adjust it as we learn what serves people best. The behaviour above will not change: sleep is always reversible by checking in, and nothing is ever deleted because of it.
We may close an account nobody opens
Separately from the above: we may close an account that nobody has opened in a very long time. This is a different thing from a sleeping soul, it uses a different measure — whether you’ve opened SoulDay at all, not whether you’ve checked in — and it is not automatic.
Before we close an account for this reason, we will email the address on it, tell you what will happen and when, and give you a reasonable period either to come back or to ask for a copy of your information under Section 14.4. If the account is then closed, we delete your information as described in the Privacy Policy.
Not while you’re subscribed
Neither the sleeping nor the closing applies while you have an active SoulDay+ subscription. See Section 11.
14.4 Asking for a copy of your data
SoulDay has no download button, and we haven’t built one. Your writing is meant to be read where it was written, not collected.
If you want a copy of your information, email privacy@soulday.ai from the address on your account and ask for one. We’ll check that it’s you, then send you a copy covering the same information that deleting your account would remove. We’ll do it within 45 days, and tell you if we need longer. There is no charge, and asking has no effect on your account.
A gesture someone sent you carries their emotional state as well as the fact that they reached out. Your copy includes the gesture and who it came from, without the state they were in — that part is about them, not about you.
14.5 What survives
Sections 3, 7.2, 7.3, 8.3, 8.4, 12, 13, 15, 16, 17, 18, and 19 survive the end of this agreement.
15. Disclaimers and limits on liability
15.1 The Service is provided as-is
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We don’t warrant that the Service will be uninterrupted, timely, secure, or error-free; that any particular day’s writing will be generated or delivered; that anything the Service writes will be accurate, appropriate, or suitable for you; or that the Service will produce any particular result or benefit.
15.2 Limits on liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR EMOTIONAL DISTRESS, arising out of or relating to the Service or these Terms, whether based in contract, tort, or any other theory, and whether or not we were advised of the possibility.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some states do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, including for fraud, gross negligence, or willful misconduct.
15.3 Between users
We are not liable for the conduct of any other person on the Service, including any soul-mate, and including what they do with anything they learn about you through the Service.
16. Changes to these Terms
We may update these Terms. If a change is material — for example, a change to Section 17, to our liability limits, or to how we handle your information — we’ll tell you in the app before it takes effect, and where the law requires it, we’ll ask for your agreement. Every version of these Terms stays available at its own permanent address.
If you don’t agree to a change, stop using the Service and delete your account. Continuing to use it after a change takes effect means you accept it.
17. Disputes
Please read this section carefully. It affects how you can bring a claim against us.
17.1 Talk to us first
Before starting arbitration, you must give us a chance to resolve it. Send a written Notice of Dispute to legal@soulday.ai including your name, the email address on your account, a description of the dispute, and what you want. It must be individual to you and signed by you personally — a notice sent on behalf of a group, or generated from a template without your individual circumstances, does not count.
We’ll do the same if we have a dispute with you. Either of us may request a phone or video conversation. Neither of us may start arbitration for 60 days after the Notice is sent. That period pauses any deadline for bringing the claim.
17.2 Arbitration
If we can’t resolve it, you and SoulDay agree to resolve any dispute arising out of or relating to these Terms or the Service by binding individual arbitration, rather than in court.
Arbitration will be administered by a recognized consumer arbitration provider under its consumer rules. The arbitrator decides the dispute and can award the same individual relief a court could. Arbitration is less formal than court: there is no judge or jury, discovery is limited, and the decision is final with very limited review.
Where. You can choose to have your arbitration conducted by telephone, by video, based on written submissions, or in person in the county where you live.
Costs. We’ll pay the arbitration filing and administrative fees the provider’s consumer rules require us to pay. If the arbitrator finds your claim was frivolous or brought for an improper purpose, the provider’s rules on fees apply.
17.3 No class actions
You and SoulDay agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding.
17.4 If many similar claims are filed together
If 25 or more Notices of Dispute raising substantially similar claims are submitted by or with the coordination of the same lawyer or firm within a 90-day period, they will be resolved in batches rather than individually.
The parties’ counsel will group the claims into batches of up to 50, each batch heard by a single arbitrator as one proceeding. The first two batches proceed as bellwethers. When they conclude, the parties will attempt to resolve the remaining claims through mediation before further batches proceed. Deadlines for bringing any claim in the group are paused while this process runs.
This section exists so that a large number of similar claims can be resolved fairly and efficiently. It is not intended to prevent or delay anyone from bringing a claim, and if a court finds that it does, it should be modified to the minimum extent necessary rather than discarded.
17.5 What isn’t covered
Either of us may bring an individual claim in small claims court if it qualifies. Either of us may go to court to protect intellectual property rights. And nothing here prevents you from reporting a concern to a government agency, or from participating in an agency’s action.
17.6 How to opt out
You can opt out of Sections 17.2, 17.3, and 17.4 and keep your right to go to court. Email legal@soulday.ai with the subject line “Arbitration Opt-Out,” from the address on your account, within 30 days of first accepting these Terms. Include your name and account email. That’s all it takes.
Opting out costs you nothing. It has no effect on your account, your price, or how we treat you. Sections 17.1 and 17.5 still apply.
17.7 If part of this section is unenforceable
If Section 17.3 is found unenforceable as to a particular claim, that claim proceeds in court and the rest of Section 17 continues to apply to all other claims. If any other part of Section 17 is found unenforceable, that part is severed and the rest continues in effect.
18. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. This does not deprive you of the protection of any consumer protection law of the state where you live that cannot be waived by agreement.
Where a claim isn’t subject to arbitration, it will be brought in the state or federal courts located in Delaware, and both of us consent to their jurisdiction — except that you may always bring a qualifying claim in small claims court where you live.
19. General
Assignment. You can’t transfer these Terms. We may assign them in connection with a financing, merger, acquisition, or sale of our business or assets.
Entire agreement. These Terms, the Privacy Policy, and the Consumer Health Data Privacy Policy are the entire agreement between us about the Service.
Severability. If any provision is unenforceable, it’s severed and the rest stays in effect.
No waiver. If we don’t enforce something, that’s not a waiver of our right to enforce it later.
Notices. We’ll contact you at the email address on your account or in the app. Contact us at support@soulday.ai, or at legal@soulday.ai for anything under Section 17.
No third-party beneficiaries, except as stated in Section 20.
Force majeure. Neither of us is liable for a failure to perform caused by something outside our reasonable control.
20. Apple and Google
These Terms are between you and SoulDay only. Apple and Google are not parties to them.
If you downloaded SoulDay from the App Store:
- Apple has no obligation to provide any maintenance or support for the Service.
- If SoulDay fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price you paid for the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation of any kind.
- SoulDay, not Apple, is responsible for addressing any claim relating to the Service, including product liability claims, claims that the Service fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or privacy law.
- SoulDay, not Apple, is responsible for investigating, defending, settling, and discharging any third-party claim that the Service infringes intellectual property rights.
- You represent that you are not located in a country subject to a US Government embargo or designated as a terrorist-supporting country, and that you are not on any US Government list of prohibited or restricted parties.
- You must comply with any applicable third-party terms when using the Service.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
Your licence to use SoulDay on Apple devices is a non-transferable licence to use it on Apple-branded products you own or control, as permitted by the App Store Usage Rules.
If you downloaded SoulDay from Google Play, your use is also subject to the Google Play Terms of Service.
